Terms & Conditions

1. Acceptance of Terms

By accessing Ionbit’s website or engaging our services (web development, mobile apps, branding, visual design, ads designs), you agree to these Terms & Conditions. If you act on behalf of a company, you confirm you have authority to bind it.

2. Services

Ionbit provides software and creative services for businesses, including:

• Website design & development
• Mobile application development
• Branding & visual identity systems
• Social media posts & ads creatives

3. Proposals, Estimates & Scope

Scope, deliverables, timeline, and pricing are defined in a written proposal/SOW. Estimates depend on information available and may be adjusted upon scope changes.

4. Pricing, Invoices & Payments

• Unless stated otherwise, 50% upfront deposit starts the project; balance is due on delivery or milestone approval.
• Invoices are due within 7 calendar days; late payments may pause work and incur fees.
• Third-party costs (hosting, domains, stock assets, fonts, APIs, paid plugins, store fees) are billed separately if not included.

5. Client Responsibilities

• Provide timely access to content, assets, and decision-makers.
• Supply accurate information and approvals without undue delay.
• Ensure licenses/permissions for any client-provided materials.

6. Intellectual Property

• Client Materials: remain Client property; Client grants Ionbit a license to use them for the project.
• Ionbit Deliverables: Upon full payment, final approved deliverables become Client’s property, excluding Ionbit’s pre-existing tools, libraries, templates, and non-transferable assets.
• Open-Source/Third-Party: Components may be subject to their own licenses; Client agrees to their terms.

7. Revisions & Changes

Proposals include a specified number of revisions. Additional revisions or scope changes are billed at standard rates and may affect timeline.

8. Approvals & Acceptance

Client approvals (design mockups, checkpoints, staging reviews) indicate acceptance of work to date. Final delivery is deemed accepted unless issues are raised within 5 business days.

9. Timelines & Delays

Schedules depend on timely feedback and content. Ionbit isn’t liable for delays due to missing inputs, third-party outages, or force majeure.

10. Hosting, Domains & Third-Party Tools

Unless specified, Client is responsible for hosting, domains, emails, app store accounts, payment gateways, analytics, and related fees/compliance. Ionbit can assist as a separate service.

11. Marketing & Portfolio

Ionbit may showcase non-confidential work (logos, screenshots, case studies) in our portfolio/social channels. If NDA/embargo is required, notify us in writing before project start.

12. Confidentiality

Both parties shall keep confidential information secure and not disclose it except as needed to perform services or as required by law.

13. Data Protection & Privacy

Ionbit processes personal data per our Privacy Policy. Client is responsible for its own compliance on properties it controls (e.g., cookie banners, notices).

14. Warranties & Support

• 14-day post-launch bug-fix window for defects caused by our work on delivered code/designs.
• Ongoing maintenance/updates/new features are separate (support plan or hourly billing).

15. Disclaimers

Except as stated, services are provided “as-is” without warranties of merchantability, fitness for a particular purpose, or non-infringement. No guarantees of specific business outcomes (rankings, conversions, sales).

16. Limitation of Liability

To the maximum extent permitted by law, Ionbit’s total liability shall not exceed the fees actually paid by Client for the project giving rise to the claim. Ionbit is not liable for indirect, incidental, consequential, or special damages.

17. Indemnification

Client agrees to indemnify and hold Ionbit harmless from claims arising out of Client-provided materials, unlawful content, or misuse of deliverables.

18. Termination

• Either party may terminate for material breach if uncured within 10 business days of written notice.
• On termination, Client pays for all work performed and approved expenses to date. Deposits are non-refundable unless Ionbit fails to commence.

19. Governing Law & Jurisdiction

These Terms are governed by the laws of the Hashemite Kingdom of Jordan. Courts of Amman have exclusive jurisdiction.

20. Changes to Terms

We may update these Terms periodically. Changes are effective upon posting here with the “Last Updated” date.
